Welcome to Nexa. Thank you for taking the time to read our User Agreement.This User Agreement ("Agreement") constitutes a legally binding agreement between you ("User," "you") and Nexa ("we," "us," "our") governing your access to and use of our voice-based social application, website, and related services (the "Service").
PLEASE READ THIS POLICY CAREFULLY BEFORE USING THE NEXA SERVICE.
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and irrevocably agree to be bound by all terms and conditions herein. If you do not agree to these terms, you must immediately cease use and not access the Service. If you are a minor in your jurisdiction (typically under 18 years of age), you represent that your legal guardian has reviewed and agreed to this Policy on your behalf.
Nexa provides a social platform for global users to connect through real-time voice chat rooms, audio matching, voice messaging, and other interactive social audio features. The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or terminate any service at any time. Significant policy changes will be announced within the platform without prior notice. Users are responsible for regularly reviewing and complying with the most current version of these Terms.
You are authorized to use the Service only if you:
● Are at least 18 years of age.
● Have the legal capacity to form a binding contract with Nexa.
● Are not barred from receiving services under applicable law.
● Have the legal capacity to form a binding contract with Nexa.
● Have not been previously banned from the Service for violating our policies.
To maintain a safe community environment, you represent and warrant that you have never been convicted of:
● Any felony or indictable offense (or crime of similar severity)
● Any sex crime or crime involving violence
● You are not required to register as a sex offender with any state, federal, or local sex offender registry
To access certain features, you must register for an account. You agree to:
● Provide accurate, current, and complete information during registration.
● Maintain and promptly update your account information to keep it accurate.
● Maintain the strict confidentiality of your login credentials.
● Accept full responsibility for all activities that occur under your account.
● Notify us immediately of any unauthorized use of your account.
We reserve the right to reclaim usernames, suspend, or terminate accounts that are inactive for an extended period.
As a voice-based community, Nexa prioritizes a safe and respectful environment. You are solely responsible for all your activity and audio/content transmitted through the Service.
You agree not to use the Service to:
● Violate any applicable local, national, or international law or regulation.
● Harass, abuse, threaten, bully, or intimidate any other user.
● Transmit any content that is hateful, defamatory, obscene, pornographic, invasive of privacy, or that incites violence.
● Impersonate any person or entity or misrepresent your affiliation with anyone.
● Engage in any unauthorized commercial activities, including advertising, solicitation, or selling virtual items outside the Service.
● Use the Service for any fraudulent or malicious purpose, including exploiting bugs or violating the security of the Service.
● Record, redistribute, or stream content from the Service without explicit permission from all participating users and Nexa.
Your Content: You retain any ownership rights you hold in the audio and content you create and share on Nexa ("User Content").
License to Nexa: By transmitting User Content, you grant Nexa a worldwide, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, and distribute your User Content for the limited purposes of operating, developing, providing, promoting, and improving the Service and researching and developing new services. This license continues even if you stop using our Service (e.g., for archival purposes or if your content was shared by another user).
Your Representations: You represent and warrant that: (i) you own or have the necessary rights to all User Content you post; and (ii) the posting and use of your User Content on the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.
The Service may offer the purchase of virtual coins, tokens, or items ("Virtual Items") for use within Nexa.
● Virtual Items have no monetary value, are not redeemable for cash, and are non-transferable.
● You receive a limited, personal license to use Virtual Items within the Service. We may manage, regulate, control, modify, or eliminate Virtual Items at any time, with or without notice.
● No Third-Party Sales: Any purchase or sale of Virtual Items outside the official Service is strictly prohibited and will result in the termination of your account.
6.1 Payment Authorization
By subscribing to any of our single payment plans, you agree to pay all applicable fees and charges to your account according to the rates, fees, and billing terms in effect at the time each fee becomes payable.
6.2 Payment Provider Agreement
Your use of the designated credit card account is governed by your payment provider agreement. You must refer to that agreement rather than these Terms to determine your rights and responsibilities regarding your payment provider.
6.3 Payment Information Authorization
By providing us with your credit card number and associated payment information, you authorize us to:
- Immediately verify your payment information
- Invoice your account for all fees and charges due under this Agreement
- Process payments without additional notice or consent
6.4 Notification Obligations
You agree to immediately notify us of any changes to:
- Your billing address
- The credit card used for payment
- Any other payment information
6.5 Price Modification Rights
We reserve the right to change our prices and billing methods at any time. We will notify you of any changes by:
- Posting the changes on our website
- Sending email notification to your account's administrative contact
- Any other payment information
6.6 Collection Costs
You are responsible for paying all costs associated with collecting any delinquent amounts, including but not limited to:
- Reasonable attorneys' fees
- Court costs
- Collection agency fees
- Other related expenses
6.7 Third-Party Fees
You are responsible for any third-party fees that you may incur when using the Service, including but not limited to:
- Data usage charges from your mobile carrier
- Internet service provider fees
- Roaming charges
- Other telecommunications expenses
6.8 Currency and Taxes
All fees are quoted and must be paid in the currency specified at the time of purchase. You are responsible for paying all applicable taxes, duties, and other governmental charges related to your use of our Service.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal, non-commercial purposes.
The Service may contain links to third-party websites or services. We do not endorse or assume any responsibility for any such third-party sites, information, or services. Your interaction with any third-party service is solely between you and the third party.

10.1 Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Nexa, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
● Loss of profits, data, use, goodwill, or other intangible losses
● Damages resulting from your access to or use of or inability to access or use the services
● Damages resulting from any conduct or content of any third party on the services
● Unauthorized access to or alteration of your transmissions or data
11.1. General Release
To the fullest extent permitted by applicable law, you hereby release, acquit, and forever discharge Nexa and its officers, directors, employees, agents, successors, and assigns from and against any and all liabilities, claims, demands, actions, causes of action, costs, and expenses (including reasonable attorneys' fees) of every kind and nature, whether known or unknown, suspected or unsuspected, asserted or unasserted, arising from or in any way related to your use of the Nexa service. This general release applies to all disputes, claims, and controversies, including but not limited to those arising out of or related to interactions with other users of the service.
11.2. Waiver of Unknown Claims
You expressly waive any benefits or protections, statutory or otherwise, that would otherwise limit this release to only those claims known or suspected to exist at the time of agreeing to this release. This includes a waiver of any applicable provision of law which states that a general release does not extend to claims which the releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.
11.3. Assumption of Risk
You expressly acknowledge and agree that your use of the Nexa service, including your interactions with other users, is at your sole risk. You are solely responsible for all of your communications and interactions within the service and with other users. You understand that Nexa does not screen users, conduct background checks, or inquire into the backgrounds of its users. Nexa makes no representations or warranties as to the conduct of users or their compatibility with you.
We may modify this Policy from time to time. We will provide notice of material changes. Your continued use of the Service after the effective date of the revised Policy constitutes your acceptance of the terms. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach any term of this Policy.
This Policy shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from this Policy shall be resolved through final and binding arbitration, rather than in court.
